   Mr. Liao, Chi-Fang has served as independent director of the Company
   for three consecutive terms. In accordance with article 5 of ”Regulations
   Governing Appointment of Independent Directors and compliance Matters
   for Public Companies”, the Company should announce the reasons for
   continuing to nominate them as independent directors.

   Independent director candidate Mr. Liao, Chi-Fang has a professional
   background and relevant carrier experience in the commercial field,
   and is expected to make important suggestions to the Company,
   and provide supervision and professional advice to the board of directors.
   Therefore, it is proposed to continue to nominate him for
